Acceptance of Terms

By accessing or using the website located at globalcleanfacilities.com (the "Site") or by engaging any services provided by Global Cleans Facilities, Inc. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Your continued use of our Site or services after any changes constitutes your acceptance of the new Terms.

Services Description

Global Cleans Facilities provides commercial cleaning and integrated facility management services to businesses across the United States. Our services include, but are not limited to:

• Commercial and office cleaning services (daily, weekly, and monthly schedules).
• Healthcare and medical facility cleaning to OSHA and CDC standards.
• Industrial and warehouse floor care including stripping, waxing, and polishing.
• Carpet cleaning, extraction, and stain treatment.
• Window cleaning — interior and exterior — at all heights.
• Disinfection and sanitization services using EPA-registered products.
• Post-construction clean-up and debris removal.
• Day porter and building support services.
• Building exterior pressure washing and maintenance.
• Pest management services through licensed partners.
• Facility support services including handyman and minor maintenance.

Specific services, scope, frequency, and pricing are governed by individual Service Agreements executed between the Company and each client.

Service Agreements & Contracts

All recurring service engagements require a written Service Agreement signed by authorized representatives of both parties. Service Agreements will specify:

• The scope of services to be performed and locations covered.
• Service frequency, schedule, and estimated duration per visit.
• Pricing, invoicing schedule, and payment terms.
• Term length, renewal conditions, and cancellation provisions.
• Service level expectations and quality audit procedures.
• Insurance requirements and liability allocations.

In the event of a conflict between a signed Service Agreement and these Terms of Service, the Service Agreement shall govern with respect to the specific services covered.

Payment Terms

Unless otherwise specified in a Service Agreement, the following payment terms apply:

• Invoices are issued monthly in advance for recurring services, or upon completion for one-time services.
• Payment is due within thirty (30) days of the invoice date ("Net 30").
• Accepted payment methods include ACH bank transfer, check, and major credit cards. A processing fee of 2.9% applies to credit card payments.
• Late payments are subject to a finance charge of 1.5% per month (18% per annum) on the outstanding balance.
• We reserve the right to suspend services on accounts more than 45 days past due after written notice.
• Clients are responsible for all costs of collection, including reasonable attorney fees, incurred in connection with collecting past-due amounts.

All pricing is in U.S. dollars. Prices are subject to annual adjustment with 60 days' written notice.

Client Responsibilities

To enable us to provide services effectively and safely, clients agree to:

• Provide safe, unobstructed access to all areas included in the service scope during scheduled service times.
• Disclose any known hazardous materials, conditions, or special requirements before service commencement.
• Secure or remove any irreplaceable, fragile, or sensitive items from service areas.
• Ensure that adequate utilities (water, electricity) are available during service visits.
• Designate a primary contact person responsible for approving scope changes and receiving communications.
• Provide accurate information regarding building security procedures, access codes, and restricted areas.
• Notify us promptly of any changes to facility conditions that may affect service delivery.

Acceptable Use of the Website

You agree not to use this website in any way that:

• Violates any applicable local, state, national, or international law or regulation.
• Transmits unsolicited commercial communications (spam).
• Impersonates any person or entity or misrepresents your affiliation with a person or entity.
• Attempts to gain unauthorized access to any portion of the Site or its related systems.
• Interferes with or disrupts the integrity or performance of the Site or its content.
• Collects or harvests any personally identifiable information from the Site.
• Uses automated means to access or scrape content from the Site.

Intellectual Property

All content on this website — including text, graphics, logos, images, audio clips, digital downloads, and software — is the property of Global Cleans Facilities, Inc. or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial purposes. You may not:

• Use any Global Cleans Facilities trademarks, service marks, or logos without prior written consent.

Warranty & Disclaimers

Global Cleans Facilities warrants that it will perform all services in a professional and workmanlike manner using qualified, trained personnel. If you are not satisfied with a service, please notify us within 24 hours and we will re-perform the affected work at no additional charge.

THE WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL CLEAN FACILITIES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR WEBSITE.

Our total cumulative liability for any claims arising out of or related to a Service Agreement shall not exceed the total fees paid by you to us during the three (3) months immediately preceding the event giving rise to the claim.

This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

Termination

Either party may terminate a Service Agreement as specified in the applicable agreement. In general:

• Month-to-month agreements require 30 days' written notice from either party.
• Annual contracts may be terminated for cause (material breach not cured within 15 days of notice) without penalty.
• Early termination of a fixed-term contract by the client may be subject to an early termination fee as specified in the Service Agreement.

We reserve the right to terminate or suspend website access and refuse service to any user for conduct that we believe, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our services shall first be submitted to good-faith mediation in Dallas, Texas. If mediation fails to resolve the dispute within 60 days, the parties agree to submit to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Dallas County, Texas.
